These Terms of Use (“Terms”) govern your access and use of the website located at https://www.alliancehomeentertainment.com (“Website”) operated by Alliance Entertainment, its subsidiaries, or affiliates (collectively “AENT,” “our,” “we,” or “us”). These Terms are a legally binding agreement between you and AENT. For purposes of these Terms, “you” or “your” mean you individually.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE WEBSITE. THESE TERMS INCLUDE A BROAD WAIVER OF THE RIGHT TO FILE OR PARTICIPATE IN A CLASS OR COLLECTIVE ACTION LAWSUIT THAT RELATES TO OR ARISES OUT OF YOUR ACCESS AND USE OF THE WEBSITE OR OTHERWISE (SEE SECTION 16). IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE WEBSITE. THE WEBSITE IS INTENDED ONLY FOR INDIVIDUALS RESIDING IN THE UNITED STATES. YOU ARE RESPONSIBLE FOR INFORMING YOURSELF OF THE LAWS OF YOUR JURISDICTION AND COMPLYING WITH THEM.

By using the Website or by clicking the “Register” button when the option is made available to you, you (a) accept and agree to be bound and abide by these Terms; (b) understand and agree with our Privacy Policy, incorporated herein by reference; and (c) represent that you: (i) are at least eighteen (18) years old, (ii) reside in the United States or any of its territories, and (iii) are not prohibited by law from accessing or using the Website.

1. Access and Use

AENT grants you a limited, commercial, revocable, non-assignable, non-transferable, and non-exclusive right to access and use the Website in accordance with these Terms. We reserve all rights not expressly granted in these Terms. The foregoing limited license: (i) does not give you any ownership of, or any other intellectual property interest in, the Website or any information therein; and (ii) may be immediately suspended or terminated for any reason, in AENT’s sole discretion, and without advance notice or liability. Your unauthorized access or use of the Website or information therein may violate copyright, trademark, privacy, publicity, communications, and other laws, and any such use may result in your personal liability, including potential criminal liability. Further, you agree that personal information you provide through the Website shall be governed by our Privacy Policy, which is hereby incorporated and made part of these Terms.

2. Sales

Please visit our Help Page for information on our products and services such as placing an order on the Website, making changes to your order, pricing details, coupons and promotions policies, payment options, shipping information, and our return policy.

3. Account

To access and certain features of the Website, you may be required to register and create an account (“Account”). By creating an Account, you agree to: (a) provide accurate, current, and complete information about yourself and update it as necessary; (b) maintain the security of your Account; and (c) immediately notify us of any unauthorized use of your Account or any other breach of Account security. We reserve the right, in our sole discretion, to accept or reject your registration to create an Account and/or to access or the Website.

4. Content

The Website may offer featured articles, pictures, information, digital images, games, surveys, contests and sweepstakes, advertising, logos, trademarks, and other content (collectively referred to hereinafter as “Content”). Content may be in the form of text, data, music, sound, graphics, images, pictures, photographs, videos, software, or other forms now known or later invented. AENT makes no representations or warranties that the Content is available, appropriate, or legal to access. You understand and acknowledge that downloading Content from the Website does not give you title or other rights to such Content.

5. User Content

The Website may allow you to post, submit, or display information, messages, suggestions, questions, comments, postings, advertisements, ratings, ideas, techniques, notes, know-how, drawings, concepts, designs, audio visual material, photographs and pictures (including pictures and other representations of your name and likeness), digital images, or other content in any form (collectively “User Content”). By posting User Content on the Website, you hereby grant AENT an unrestricted, transferable, and sub-licensable, irrevocable, royalty-free, world-wide, and perpetual license to reproduce, distribute, publicly display, make derivative works of, and otherwise use the User Content in any media whatsoever now known or later invented throughout the world for any purpose whatsoever, commercial or not. You hereby disclaim any right to any compensation from AENT in connection with AENT’s exercise of its license rights in and to the User Content you have posted on the Website. You acknowledge and agree that AENT is under no obligation of confidence to you and shall not be liable for any use or disclosure of any User Content. By posting the User Content on any site, you represent and warrant that you own the copyright in such User Content or that you have a legitimate license to post the User Content, including photographs or other audiovisual material, without any restrictions whatsoever. Without limiting the generality of the foregoing, you authorize AENT to include User Content in a searchable format that may be accessed by users of the Website and third-party websites, provided, however, that AENT shall have no liability for User Content that can be public and visible on the Website, third-party websites, or search engines, including after deletion of such User Content by you or AENT.

AENT has no obligation to monitor the Website or any portion thereof. However, AENT reserves the right to review any User Content and remove, delete, redact, or otherwise modify such User Content, in its sole discretion, at any time and from time to time, without notice or further obligation to you. AENT has no obligation to display or post any User Content. AENT reserves the right to disclose, at any time and from time to time, any information, or User Content that AENT deems necessary or appropriate.

6. Feedback

You also agree that AENT is free to use any ideas, concepts, or techniques that you send to AENT through the Website (collectively, “Feedback”), for any purpose, including, but not limited to, developing and marketing efforts that incorporate such Feedback. By providing any Feedback, you grant AENT and its affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such Feedback for any purpose.

7. Additional Terms

Certain parts or features of the Website may be subject to additional terms and conditions that are not expressly stated in these Terms, such as areas of the Website where payments are collected from you (collectively, “Additional Terms”). You agree to comply with such Additional Terms that apply to your use of the applicable parts or features of the Website. In case any conflict exists between these Terms and Additional Terms, the Additional Terms will control.

8. Website Use Restrictions

As a condition of using the Website, you agree that you will not:

  • a) without the prior written consent of AENT, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works of, transfer, or sell any Content;
  • b) submit, display, or transmit any User Content (as hereinafter defined) that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party, or User Content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
  • c) submit, display, or transmit any spam, duplicative messages, unauthorized promotions or advertisements, surveys, contests, chain letters, or pyramid schemes;
  • d) forge headers, create a false identity, or otherwise manipulate identifiers to deceive others or disguise the origin of any User Content transmitted to or via the Website;
  • e) use the Website to threaten, defame, abuse, assault, stalk, harass, or otherwise violate the rights of any other person or entity, including without limitation rights of privacy or publicity;
  • f) publish, display, offer, or disseminate any profane, obscene, indecent, unlawful, terroristic, violent, or hateful User Content;
  • g) collect, store, publish, post, sell, transmit, or disclose personal data about other users of the Website; or
  • h) monitor or copy Content.

9. Website Security Restrictions

AENT takes the security of the Website seriously. Therefore, in addition to the restrictions set forth above, you may not:

  • a) interfere or attempt to interfere with the proper working of the Website or any activity or service on this Website by using any robot, “bot,” spider, crawler, engine, device, software, tool, routine, or any other automatic device or manual process of any like or kind without our written permission, or engage in any activity which interferes with the proper working of or access to this site or to any host or network;
  • b) attempt to access data or information not intended for you or log onto a server or Account that you are not authorized to access;
  • c) access or attempt to access any system or servers on which the Website is hosted or modify or alter the Website in any way;
  • d) upload or otherwise transmit files that contain viruses, worms, Trojan horses, malicious code, spyware, adware, sniffers, corrupted files, or similar software or programs;
  • e) restrict or prevent any other user from using the Website and/or any products, services, or Content posted on or offered through the Website;
  • f) post or upload User Content (as hereinafter defined) that disrupts the normal flow of dialogue with an excessive amount of User Content (flooding attack) to the Website, or that otherwise negatively affects other users’ ability to access or use the Website; or
  • g) link to, frame, or otherwise reproduce the Website without the prior written consent of AENT.

AENT reserves the right to investigate any violations of the Website system, network, or security, to involve and cooperate with law enforcement authorities in investigating such violations, and to prosecute violators to the fullest extent of the law.

10. Copyright

Content on the Website is either owned by or licensed to AENT. No Content or other material from the Website may be copied, reproduced, published, republished, uploaded, posted, displayed, transmitted, modified, used to prepare derivative works, distributed, or redistributed in any way in any medium whatsoever now known or later invented, except that you may download one copy of the material on any single computer for your personal, non-commercial home use only, provided you retain all copyright and other proprietary notices. Any attempt to modify Content or use Content for any other purpose constitutes a violation of our copyright and other proprietary rights, and may subject you to injunctive relief, statutory damages, and other penalties. The use of Content on any third-party website or networked computer environment is prohibited without the express prior written consent of AENT. You understand and agree that you will obtain no ownership of, or any other intellectual property interest in, any Content. Your unauthorized use of the Content may violate copyright, trademark, privacy, publicity, communications, and other laws, and any such use may result in your personal liability, including potential criminal liability.

11. Trademarks and Proprietary Rights Notices

All trademarks, logos, trade names, or service marks (collectively, the “Marks”) mentioned, used, or displayed on the Website are either owned by or licensed to AENT . You may not display or reproduce the Marks other than with the prior written consent of AENT. You may not remove, obscure, or otherwise modify any copyright, trademark, confidentiality, or other proprietary rights notices displayed on, embedded in, or otherwise appearing in any Content offered by, viewed on, or received through the Website.

12. Copyright Infringement Claims

Except as expressly provided above, nothing contained herein shall be construed as conferring any license or right under any copyright or any other intellectual property right. It is our policy to respond appropriately to notices of alleged infringement that comply with the Digital Millennium Copyright Act (“DMCA”), including by removing or disabling access to material claimed to be the subject of infringing activity. If you are an owner of intellectual property who believes that your intellectual property has been improperly posted or distributed via the Website, please notify our designated DMCA agent immediately at Legal_Mailbox@aent.com in writing (“DMCA Notice”). DMCA Notices must include the following information:

  • a) an electronic or physical signature of the person authorized to act on behalf of the copyright owner;
  • b) a description of the copyrighted work that you claim has been infringed;
  • c) the URL of the site and a description of where the material that you claim is infringing is located on that site;
  • d) your address, telephone number, and email address;
  • e) a statement by you that you have a good faith belief that the alleged infringing material is not authorized by the copyright owner, its agent, or the law; and
  • f) a statement by you, made under penalty of perjury, that all the information in your Notice is accurate, and that you are either the copyright owner or authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

13. No Warranty; Disclaimers

THE WEBSITE, CONTENT, PRODUCTS, AND SERVICES ADVERTISED ON OR PROVIDED VIA THE WEBSITE (INCLUDING ANY LINKED THIRD-PARTY WEBSITES) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE ARE NOT RESPONSIBLE FOR ANY THIRD-PARTY WEBSITES. ALL INFORMATION PROVIDED ON THE WEBSITE IS SUBJECT TO CHANGE WITHOUT NOTICE. AENT, ITS SUPPLIERS AND LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES, WHETHER EXPRESS OR IMPLIED, OF ANY KIND ABOUT THE WEBSITE AND ANY CONTENT PROVIDED IN CONNECTION THEREWITH. AENT, ITS SUPPLIERS AND LICENSORS ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS IN THE CONTENT OF THE WEBSITE, FOR ANY FAILURES, DELAYS, OR INTERRUPTIONS IN THE DELIVERY OF ANY CONTENT CONTAINED ON THE WEBSITE, FOR ANY LOSSES OR DAMAGES ARISING FROM THE ACCESS OR USE OF THE WEBSITE, OR FOR ANY CONDUCT BY USERS OF THE WEBSITE. TO THE FULL EXTENT PERMISSIBLE BY LAW, AENT, ITS SUPPLIERS AND LICENSORS DISCLAIM ALL REPRESENTATIONS AND WARRANTIES ABOUT THE WEBSITE AND THE PRODUCTS AND SERVICES WE DELIVER, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN ADDITION, WE DO NOT REPRESENT OR WARRANT THAT THE INFORMATION ACCESSIBLE VIA THE WEBSITE IS ACCURATE, COMPLETE, OR CURRENT. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THEACCESS OR USE OF THE WEBSITE IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD OR YOUR ACCESS OR USE OF THE WEBSITE. AENT reserves the right to do any of the following, at any time, without notice: (a) to modify, suspend, or terminate operation of or access to the Website or any portion thereof, for any reason; (b) to modify or change the Website, or any portion thereof, and any applicable policies or terms; and (c) to interrupt the operation of the Website, or any portion thereof, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

14. Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AENT, ITS MEMBERS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS (COLLECTIVELY, “AENT PARTY” OR “AENT PARTIES”) SHALL NOT BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY (WHETHER CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH, OR FAILURE OF ANY WARRANTY OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES THAT MAY BE INCURRED BY YOU IN CONNECTION WITH PURCHASE OF GOODS FROM US OR THESE TERMS, INCLUDING WHETHER OR NOT A AENT PARTY OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING. YOU EXPRESSLY UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AENT PARTIES’ TOTAL LIABILITY IN CONNECTION WITH THE PURCHASE OF GOODS THROUGH THE WEBSITE OR THIS LIMITED WARRANTY WILL NOT EXCEED THE PURCHASE PRICE FOR SUCH GOODS. IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS SECTION TO BE UNENFORCEABLE, THEN LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY APPLICABLE LAW.

You agree that the provisions contained in this section will survive any termination or expiration of this Agreement and/or your Account, or of discontinuation of all or any portion of the Website.

15. Indemnification

You agree to defend, indemnify, and hold AENT harmless from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from or related to: (a) your use or access to the Website; (b) your violation of these Terms, including without limitation your breach of any of the representations and warranties contained herein; (c) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; (d) your violation of any applicable law, rule, or regulation; (e) any claim or damages that may arise as a result of your User Content or any content that is submitted via your Account; or (f) any other party’s access and use of any portion of the Website with your unique username, password or other appropriate security code. You agree that the provisions contained in this section will survive any termination or expiration of this Agreement and/or your Account, or of discontinuation of all or any portion of the Website.

16. Class and Collective Action Waiver

You agree that you will not sue Alliance Entertainment, its subsidiaries, or affiliates (collectively, “AENT Parties”) as a class plaintiff or class representative, join as a class member, or participate as an adverse party in any way in a class or collective action lawsuit against the AENT Parties which relates to or arises out of your access and use of the Website, any product or service of the AENT Parties, your relationship or interactions with the AENT Parties, or otherwise. You agree that this class and collective action waiver also applies to claims against any officer, director, employee, or agent of the AENT Parties to the extent the AENT Parties may be directly or indirectly liable for such claims. You further agree that this class and collective action waiver applies to you and any child or other person on whose behalf you are acting. Nothing in this section, however, limits your right to bring a lawsuit as an individual plaintiff.

17. Modifications

We may modify and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. Any changes to these Terms will be effective upon our posting of the notice, provided that these changes will be prospective only and not retroactive. In certain cases, we may also provide a summary of changes to these Terms via email to your email address on file with us. Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes. ACCORDINGLY, EACH TIME YOU SIGN IN TO OR OTHERWISE USE THE WEBSITE, YOU ARE ENTERING INTO A NEW AGREEMENT WITH US ON THE THEN APPLICABLE TERMS AND YOU AGREE THAT YOUR USE OF THE WEBSITE AFTER SUCH NEW TERMS HAVE BEEN POSTED CONSTITUTES YOUR AGREEMENT TO THE NEW TERMS FOR YOUR NEW USE AND TRANSACTIONS ON THE WEBSITE. You are expected to check these Terms each time you access or use the Website, so you are aware of any changes, as they are binding on you.

18. Termination

These Terms commence on the day that you accept them and will continue in effect until we terminate these Terms or your Account, or you request to close and delete your Account by contacting us at privacy.email@aent.com with the subject line “CLOSE AND DELETE ACCOUNT.” AENT reserves the right to terminate your access or use of the Website at any time for any reason without any prior notice to you: (a) in its sole discretion; (b) if you breach any provision of these Terms; or (c) if you violate any applicable law(s). Any such termination will automatically terminate all rights and licenses granted to you under these Terms, including all rights to access or use the Website. You acknowledge and agree that AENT will not be liable to you or any third party for any termination of your access or use of the Website or an Account. In the event of any termination, all provisions of these Terms whose meaning requires them to survive will accordingly survive (including, for example, indemnity, limitation of liability, and the class and collective action waiver).

19. General Provisions

  • a) Entire Agreement. Unless otherwise specified herein, these Terms constitute the entire agreement between you and AENT with respect to the Website and its products and services, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and AENT.
  • b) Governing Law. These Terms, your rights and the rights of AENT within these Terms shall be governed by and construed in accordance with the laws of the State of Florida without regard to choice of law principles. Any action arising out of or relating to these Terms shall be filed only in the state or federal courts located in the State of Florida and you hereby consent and submit to the exclusive personal jurisdiction and venue of such courts.
  • c) Severability. If any part of this Terms is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision or portion of such provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Terms shall continue in effect.
  • d) Assignment. AENT may assign its rights and obligations under these Terms, in whole or in part, to any party at any time without any notice. You may not assign these Terms, and you may not delegate your duties under them, without the prior written consent of an officer of AENT.
  • e) California Residents. In accordance with California Civil Code Section 1789.3, California residents are entitled to know that they may file grievances and complaints with the California Department of Consumer Affairs, 400 R Street, STE 1080, Sacramento, CA 95814; or by telephone at (916) 445 1254 or (800) 952 5210.
